These Terms of Service ("Terms") govern your access to and use of BuilderCore's websites, software, applications, artificial intelligence features, digital takeoff tools, estimating tools, project management features, and related services (collectively, the "Services").

By creating an account, purchasing a subscription, starting a trial, accessing, or using the Services, you agree to these Terms.

If you use BuilderCore on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" and "your" include that organization.

If you do not agree to these Terms, do not use the Services.

Do not submit a construction bid solely on the assumption that BuilderCore's AI-generated quantities or estimates are correct.

The final bid, estimate, scope, quantities, pricing, and contractual commitments remain the user's responsibility.

  • Maintaining account security
  • Protecting passwords and credentials
  • Controlling authorized users

You must be legally capable of entering into a binding agreement to use the Services.

BuilderCore is primarily intended for businesses and construction professionals.

If you use BuilderCore on behalf of an organization, you represent that you have authority to do so.

10. Customer Content

"Customer Content" includes plans, blueprints, drawings, specifications, project files, estimates, photos, documents, data, prompts, instructions, and other information submitted to BuilderCore.

This permission exists only to the extent reasonably necessary to operate, maintain, secure, and provide the Services or as otherwise disclosed to you.

11. Your Responsibility for Uploaded Documents

You represent that you have the necessary rights, authorization, or lawful basis to upload and process Customer Content through BuilderCore.

Do not upload materials that you are prohibited from possessing, copying, processing, or sharing.

You are responsible for complying with confidentiality obligations relating to plans, specifications, customer information, project information, and other documents.

BuilderCore's ability to accept an upload does not mean you have legal permission to upload it.

  • Software
  • Interfaces
  • Designs
  • Branding
  • Logos
  • Technology

Certain BuilderCore features require a paid subscription, credits, usage fees, or other payment.

Prices and available plans are displayed through the applicable BuilderCore purchasing interface.

You agree to pay charges associated with the plan or services you select.

Applicable taxes may be added.

BuilderCore may change pricing prospectively.

Pricing changes will not retroactively change charges already incurred.

15. Trials and Promotional Offers

BuilderCore may offer free trials, promotional access, credits, beta access, or discounted subscriptions.

Eligibility and duration may vary.

BuilderCore may modify or discontinue promotional programs as permitted by law and the applicable offer terms.

Unless expressly stated otherwise, promotional access does not create a right to receive the same features or pricing indefinitely.

16. Recurring Subscriptions

If you purchase a recurring subscription, your subscription may automatically renew for successive billing periods until canceled, as disclosed during purchase.

By purchasing a recurring subscription, you authorize BuilderCore or its payment provider to charge the applicable payment method for recurring subscription fees and applicable taxes.

You may cancel according to the cancellation method available through BuilderCore.

Cancellation ordinarily prevents future renewals and does not automatically create a refund for previously paid periods except where required by law or expressly stated by BuilderCore.

17. Refunds

Unless otherwise stated at purchase or required by applicable law, payments are non-refundable once charged.

BuilderCore may issue refunds or credits at its discretion where appropriate.

Any discretionary refund does not create an obligation to provide similar refunds in the future.

These may include services supporting:

  • Payments
  • Artificial intelligence
  • Cloud infrastructure
  • Communications

Beta features should not be relied upon for critical construction or financial decisions without independent verification.

  • Infrastructure problems
  • Internet failures

BuilderCore does not guarantee any specific uptime unless expressly provided under a separate written service-level agreement.

By using BuilderCore, you acknowledge that you have reviewed the applicable Privacy Policy.

23. Electronic Communications

You agree that BuilderCore may provide account, billing, transactional, security, and other service-related communications electronically.

Where permitted, BuilderCore may also send promotional communications.

You may opt out of promotional emails using the applicable unsubscribe mechanism.

Opting out of marketing does not prevent necessary service-related communications.

24. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

BUILDERCORE DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND OTHER WARRANTIES TO THE EXTENT PERMITTED BY LAW.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

26. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless BuilderCore and its affiliates, officers, employees, contractors, and agents from claims, damages, liabilities, losses, and reasonable expenses arising from or relating to:

  • Your misuse of the Services

This obligation will apply only to the extent enforceable under applicable law.

27. Governing Law

These Terms are governed by the laws of the State of Louisiana, without regard to conflict-of-law principles, except where applicable law requires otherwise.

28. Dispute Resolution

Before filing a formal claim, you and BuilderCore agree to make a reasonable good-faith effort to resolve the dispute informally.

A party initiating a dispute should provide written notice describing the issue and requested resolution.

If the dispute cannot be resolved informally, any legal proceedings will be handled according to applicable law and any additional dispute-resolution terms expressly agreed between you and BuilderCore.

BuilderCore should have Louisiana legal counsel determine whether a mandatory arbitration provision and class-action waiver should be added before launch.

29. Changes to These Terms

BuilderCore may update these Terms periodically.

The "Last Updated" date will identify the most recent version.

For material changes, BuilderCore may provide additional notice where required or appropriate.

Continued use of the Services after updated Terms become effective constitutes acceptance where permitted by applicable law.

If applicable law requires affirmative consent to a change, BuilderCore will obtain it.

30. Entire Agreement

These Terms, the Privacy Policy, applicable order forms, subscription terms, and other agreements expressly incorporated by reference constitute the agreement between you and BuilderCore concerning the Services.

If a separately executed written agreement conflicts with these Terms, the separately executed agreement controls to the extent of the conflict.

31. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

32. No Waiver

Failure by BuilderCore to enforce a provision of these Terms does not waive the right to enforce that provision later.

33. Assignment

You may not assign your rights or obligations under these Terms without BuilderCore's prior written consent, except where applicable law provides otherwise.

BuilderCore may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or similar business transaction, subject to applicable law.
